This software is a document generation and management tool provided "AS IS". You are solely responsible for verifying the accuracy, completeness, and compliance of all data you enter and all documents generated. Automate Capture, LLC assumes no liability for your use of this software, the accuracy of generated documents, or any consequences resulting from your use.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the IPP Solutions software and related services (collectively, the "Service") provided by Automate Capture, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and acknowledge that you use the Service entirely at your own risk.

2. Description of Service

The IPP Solutions software is designed to:

  • Generate invoices compliant with IPP specifications
  • Create invoice PDFs and employee timecard PDFs
  • Manage contract, employee, and billing data
  • Process and track invoices
  • Integrate with Microsoft SharePoint for document storage
  • Provide analytics and reporting

The Service is intended for use by government contractors and businesses that submit invoices to federal agencies.

3. Authentication and Authorization

Access Requirements: The Service requires authentication through Microsoft Azure Active Directory and authorization in our systems.

Authorized Users: Only users explicitly authorized in our database may access the Service.

Credential Security: You are responsible for maintaining the security of your Azure AD credentials.

Unauthorized Access: Any unauthorized access attempts are logged and may result in legal action.

Access Revocation: We may revoke access at any time for violation of these Terms or at the request of your organization.

4. User Responsibilities

You agree to:

Accuracy

Ensure all data entered is accurate, complete, and current.

Compliance

Comply with all applicable federal, state, and local laws.

Verification

Review and verify all documents before submission.

Security

Maintain the security of your credentials.

5. Prohibited Uses

You shall NOT:

  • Use the Service to submit false, fraudulent, or misleading information
  • Use the Service in violation of federal acquisition regulations
  • Share your credentials with unauthorized users
  • Attempt to circumvent authentication or authorization mechanisms
  • Use the Service in a manner that could damage our systems or networks
  • Use automated systems to access the Service without permission
  • Reverse engineer, decompile, or disassemble the Software
  • Redistribute, resell, or sublicense the Software

6. No Guarantee of Government Acceptance

CRITICAL NOTICE

  • We do NOT guarantee that documents generated by the Service will be accepted by any government agency
  • Government agencies may reject submissions for various reasons
  • You are solely responsible for ensuring compliance with all requirements
  • We recommend consulting with contracting officers before submission
  • We are not liable for consequences of rejected submissions

7. Disclaimer of Warranties

You must verify all data and documents

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

You acknowledge that:

  • This software is provided "AS IS"
  • You must verify all data and documents for accuracy
  • How you use the software is your responsibility
  • What you do with generated documents is your responsibility
  • Any consequences of your use are solely your responsibility

8. Limitation of Liability

AUTOMATE CAPTURE, LLC ASSUMES NO LIABILITY FOR YOUR USE

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Automate Capture, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities
  • Loss of data or information
  • Business interruption
  • Contract termination
  • Government penalties or fines
  • Reputational damage

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Automate Capture, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your submission of inaccurate or non-compliant documents
  • Any government penalties resulting from your use of the Service
  • Your violation of any applicable laws or regulations

10. Data and Privacy

  • You retain all rights to data you input into the Service
  • We collect data for authentication, authorization, and service delivery (see Privacy Policy)
  • Business data is stored in our secure Azure database and SharePoint
  • You are responsible for the accuracy and legality of your data

11. Updates and Modifications

  • We may provide updates or modifications to the Service
  • We reserve the right to modify or discontinue the Service at any time
  • We may modify these Terms by posting updated Terms
  • Your continued use after changes constitutes acceptance
  • We will notify you of material changes

12. Termination

  • Your access may be terminated at any time by removing you from our authorized users database
  • We may terminate or suspend your access immediately if you violate these Terms

Upon termination:

  • Your right to use the Service immediately ceases
  • You must uninstall any local copies of the Software
  • Sections 6, 7, 8, 9, and 15 survive termination

13. Government Compliance

If you are a government contractor, you acknowledge that:

  • You are responsible for compliance with the Federal Acquisition Regulation (FAR)
  • You are responsible for compliance with your specific contract terms
  • You must maintain proper documentation and audit trails
  • You must report any discrepancies or errors to appropriate authorities
  • The Service does not replace your obligation to maintain accurate records

14. General Provisions

Governing Law: These Terms are governed by the laws of the State of Texas.

Dispute Resolution: Any disputes shall be resolved through binding arbitration.

Class Action Waiver: You agree to resolve disputes on an individual basis.

Entire Agreement: These Terms, together with the EULA and Privacy Policy, constitute the entire agreement.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver: Our failure to enforce any right does not constitute a waiver.
